1. Introduction
Bille is a technology platform operated by Assurley AB, org. nr 559505-3778, Hagaesplanaden 4, 113 68 Stockholm, Sweden. Bille embeds Representations & Warranties (R&W) insurance, also known as M&A insurance, into business acquisition marketplaces. The platform enables buyers and sellers of SME businesses to obtain indicative quotes, submit underwriting applications, and receive R&W insurance policies through our network of licensed underwriters and brokers.
These Terms of Use govern your access to and use of the Bille platform, website, and all related services. By accessing or using the platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use the platform.
2. The Platform
Bille may update, modify, or discontinue the platform or any of its features at any time without prior notice. Bille may also limit or suspend your access to the platform at its sole discretion, including for maintenance, security, or regulatory reasons. You may stop using the platform at any time without notice to Bille. No refunds or credits will be issued for periods of unavailability.
3. Permitted Use
Your use of the Bille platform is subject to all applicable laws and regulations. You agree that you will not use the platform to:
Submit fraudulent, false, or misleading information in connection with any quote request or insurance application
Impersonate another person, entity, or organisation
Misrepresent the details of a transaction for the purpose of obtaining insurance coverage
Transmit malicious code, viruses, or any material designed to disrupt or damage the platform
Use automated tools, bots, scrapers, or similar technologies to extract data from the platform
Engage in any activity that violates applicable law, infringes on the rights of others, or conflicts with Bille's rights or interests
4. Account Registration
To access the quoting and policy issuance features of the Bille platform, you must register an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at hello@bille.co if you suspect any unauthorised access to or use of your account. Bille reserves the right to verify your identity before activating an account and may refuse registration at its discretion.
5. Quote and Policy Process
Quotes generated by the Bille platform are indicative only and do not constitute a binding offer, commitment, or guarantee of insurance coverage. All quotes are subject to underwriting review and approval by the relevant licensed insurer. Premium amounts, coverage terms, limits, deductibles, and exclusions may change during the underwriting process.
Bille is a technology distribution platform and is not itself an insurance company, licensed insurer, or insurance intermediary. All insurance underwriting decisions are made solely by the relevant licensed underwriter. Bille acts as a distribution and technology layer only and does not provide insurance advice.
6. Submission of Information
You are solely responsible for the accuracy, completeness, and truthfulness of all information submitted through the Bille platform, including but not limited to transaction details, business information, financial data, and underwriting questionnaire responses.
Submitting false, misleading, or materially incomplete information may result in the denial or voiding of insurance coverage and may constitute fraud under applicable Swedish and European law. Bille accepts no liability for any consequences arising from inaccurate or incomplete information submitted by you.
7. Third-Party Partners
The Bille platform connects users with licensed insurance underwriters and brokers for the purpose of placing R&W insurance coverage. By submitting a quote request through the platform, you consent to your information being shared with these third-party partners solely for underwriting, risk assessment, and policy issuance purposes.
Bille does not control and is not responsible for the underwriting decisions, policy terms, pricing, or conduct of third-party insurance partners. Any insurance policy issued through the platform is a contract between you and the relevant insurer, not between you and Bille.
8. Fees and Payments
Insurance premiums, underwriting fees, and any applicable service charges are set by the relevant insurer or broker and may vary depending on the transaction, coverage scope, and risk profile. Payment is processed through secure third-party payment providers.
All fees are non-refundable unless otherwise explicitly stated in the relevant policy documents or required by applicable law. You are responsible for ensuring that payment information provided is accurate and that sufficient funds are available.
9. Intellectual Property
All content, trademarks, logos, platform design, user interface elements, software, algorithms, data models, and materials available on the Bille platform are the exclusive property of Assurley AB or its licensors and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, reverse engineer, decompile, or create derivative works from any part of the platform or its content without the express written consent of Assurley AB. Any unauthorised use may result in legal action.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Bille and Assurley AB, including their directors, officers, employees, and agents, shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the platform
Any underwriting decision, coverage denial, claim outcome, or policy terms determined by a third-party insurer
Any loss, damage, or liability arising from inaccurate, incomplete, or fraudulent information submitted by you
Any interruption, downtime, or unavailability of the platform, whether planned or unplanned
The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Disclaimer
Bille does not guarantee that insurance coverage will be available for any specific transaction or that any particular quote will result in a bound policy. Indicative quotes generated through the platform are not binding offers of insurance.
All insurance coverage is subject to the terms, conditions, and exclusions of the relevant policy issued by the licensed insurer. Nothing on the Bille platform constitutes legal advice, financial advice, tax advice, or insurance advice. You should consult with qualified professional advisors before making decisions based on information obtained through the platform.
12. Indemnification
You agree to indemnify, defend, and hold harmless Assurley AB, Bille, and their respective directors, officers, employees, contractors, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:
Your breach of these Terms of Use or any applicable law
Your submission of inaccurate, misleading, or fraudulent information through the platform
Your violation of the rights of any third party in connection with your use of the platform
Any claim brought by a third party arising from your use of the platform
13. Termination
Bille may terminate or suspend your access to the platform at any time, with or without cause, including but not limited to situations where you breach these Terms of Use, where required by law or regulation, or where Bille ceases operations. Upon termination, your right to use the platform ends immediately.
Sections of these Terms of Use that by their nature should survive termination, including but not limited to intellectual property, limitation of liability, indemnification, and governing law, shall continue to apply after termination.
14. Governing Law and Disputes
These Terms of Use shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms of Use, or the breach, termination, or invalidity thereof, shall be resolved in the courts of Stockholm, Sweden, unless otherwise required by mandatory applicable law.
15. Changes to These Terms
Bille reserves the right to update, amend, or replace these Terms of Use at any time at its sole discretion. Material changes will be communicated by email to registered users or by prominent notice on the platform. Your continued use of the platform after such notification constitutes your acceptance of the updated terms. If you do not agree with the revised terms, you must stop using the platform.
